ARTICLE 01

The Parties

KHAYBAR and the Ambassador are collectively referred to as "the Parties." They enter into this agreement in the spirit of craftsmanship, transparency, and shared values.

ARTICLE 02

The Nature of the Partnership

This agreement governs a speciality coffee partnership: KHAYBAR supplies roasted coffee seeds to the Ambassador. The Ambassador serves this coffee in their own venue — their own bar, their own machine, their own craft.

Every kilogram the Ambassador purchases from KHAYBAR falls under the 9:1 Manner: for every 9 kilograms purchased, KHAYBAR prepares one fresh meal and gives it away — without conditions, without compensation, without any obligation to publicise.

This partnership is not a franchise, not an exclusive distribution right, and not an employment relationship. It is a manner — a way of working together built on shared craftsmanship and shared values.

ARTICLE 03

Supply of Roasted Coffee

KHAYBAR supplies roasted coffee seeds to the Ambassador based on a separately agreed delivery schedule. Origin, volume, and pricing are confirmed in writing per delivery or per quarterly agreement.

The Ambassador receives wholesale pricing based on monthly volume purchased, reviewed annually in consultation with both Parties.

ARTICLE 04

Serving & Quality

The Ambassador serves KHAYBAR coffee using their own equipment, in their own premises. KHAYBAR does not supply equipment. The barista's craft is the heart of the experience — that craft is placed in service of the 9:1 Manner.

The Ambassador is free to choose their brew method — espresso, filter, cold brew — provided the quality of the final product aligns with the standards KHAYBAR applies to its brand.

The Ambassador communicates the KHAYBAR origin on their menu or at the bar, at minimum by name and with reference to the 9:1 principle.

ARTICLE 05

The Ambassador Badge & Visibility

Upon signing this agreement, the Ambassador receives the official KHAYBAR Ambassador Badge — a visual mark of quality indicating that the venue participates in the 9:1 Manner.

The Ambassador is listed in the KHAYBAR Ambassador overview on khaybar.nl. Customers can see which locations serve KHAYBAR and indirectly contribute to feeding others through their visit.

Use of the Ambassador Badge is permitted only while this agreement is in force and purchase commitments are met.

ARTICLE 06

The 9:1 Manner — The Meal Obligation

For every 9 kilograms of coffee the Ambassador purchases from KHAYBAR, KHAYBAR prepares one fresh meal and gives it away. The meal obligation rests with KHAYBAR, not the Ambassador.

KHAYBAR documents every generated meal in its impact register. The Ambassador's name appears in this register as a co-contributor, unless the Ambassador declines this in writing.

The Ambassador may request a quarterly overview of the meals generated through their purchases. This overview may be used in their own customer communication.

ARTICLE 07

Invoicing & Payment

KHAYBAR invoices the Ambassador per delivery or monthly, depending on agreed delivery frequency. Payment is due within 14 days of the invoice date.

All amounts are exclusive of VAT, stated on the invoice in accordance with Dutch tax regulations.

ARTICLE 08

Duration & Termination

This agreement comes into effect on the start date stated below, for an indefinite period with a minimum initial term of 3 months. After the initial period, either Party may terminate with 30 days' written notice.

KHAYBAR may terminate with immediate effect if the Ambassador misuses the Ambassador Badge or acts contrary to the spirit of the 9:1 Manner.

ARTICLE 09

Governing Law

This agreement is governed by Dutch law. Any disputes shall be submitted to the competent court in Amsterdam, unless the Parties agree in writing to resolve the dispute through mediation. The Dutch version of this agreement is the legally binding version.
