ARTICLE 01
KHAYBAR and the Companion are collectively referred to as "the Parties." They enter into this agreement in the spirit of mutual respect, shared craftsmanship, and transparency regarding their respective obligations.
ARTICLE 02
This agreement governs a roastery partnership: KHAYBAR supplies green coffee seeds to the Companion. The Companion roasts these seeds using their own craftsmanship, their own grinder, their own drum. The roasted product is delivered to KHAYBAR or distributed via KHAYBAR. Every kilogram roasted within the scope of this partnership falls under the 9:1 Manner.
The 9:1 Manner is the core commitment of KHAYBAR: for every 9 kilograms of coffee roasted and delivered under this partnership, KHAYBAR prepares one fresh meal and gives it away — without conditions, without compensation, without any obligation to publicise.
This partnership is not a franchise, not an employment relationship, and not a joint venture. It is a manner — a way of working together built on shared craftsmanship and shared values.
ARTICLE 03
KHAYBAR supplies green coffee seeds to the Companion based on a separately agreed delivery schedule. Origin, volume, and pricing are confirmed in writing per delivery or per quarterly agreement.
The Companion is free to choose the roast profile — light, medium, dark — within the quality standards that KHAYBAR applies to its products. Deviations from agreed profiles are to be aligned in advance.
KHAYBAR is responsible for the quality of the green seeds. The Companion is responsible for the roasting process, storage after roasting, and timely delivery of the finished product.
ARTICLE 04
The Companion roasts exclusively with their own equipment, in their own premises. KHAYBAR does not place any equipment at the Companion's location. The craftsmanship of the Companion is the core of this partnership — that craftsmanship is placed in service of the 9:1 Manner.
The Companion documents each roast batch: date, origin of the seeds, green weight, roasted weight, roast profile, and any notable observations. KHAYBAR receives a copy of each log within 5 working days of the roast date.
The Parties align on quality standards prior to the first delivery. If KHAYBAR considers a batch of roasted product non-conforming, this is communicated in writing within 5 working days of receipt. The Parties jointly seek a resolution — replacement, re-roasting, or a credit note.
ARTICLE 05
The roasted product is delivered to KHAYBAR in accordance with the agreed delivery schedule. Delivery is either carriage paid or ex-roastery, depending on what the Parties agree in writing.
KHAYBAR purchases the roasted product at the agreed roasting fee per kilogram. This fee covers the craftsmanship, the roasting process, and the delivery — not the green seeds, which have already been supplied by KHAYBAR.

ARTICLE 06
The core of this partnership is the 9:1 Manner. For every 9 kilograms of coffee roasted and delivered under this partnership, KHAYBAR prepares one fresh meal and gives it away — without conditions, without compensation, without any obligation to publicise.
KHAYBAR documents every generated meal in its impact register. The name of the Companion appears in this register as a co-contributor to the meal, unless the Companion declines this in writing. The Companion may request an overview of the number of meals generated through their roasting work.
The meal obligation rests with KHAYBAR, not with the Companion. The Companion contributes by making their craftsmanship available. The execution — the cooking, the documentation, the giving — is the responsibility and privilege of KHAYBAR.
ARTICLE 07
The Companion invoices KHAYBAR monthly for roasting services rendered, based on the number of kilograms of roasted product delivered and accepted in the preceding month.
KHAYBAR settles the Companion's invoice within 14 days of the invoice date. Any corrections or disputes are reported in writing within 5 working days of receipt.
All amounts stated are exclusive of VAT. The applicable VAT is stated on the invoice in accordance with applicable Dutch tax regulations.
ARTICLE 08
This agreement comes into effect on the start date stated below and is entered into for an indefinite period, with a minimum initial term of 3 months.
After the initial period, either Party may terminate this agreement in writing with a notice period of 30 days. Termination is effected by email or registered letter.
KHAYBAR may terminate this agreement with immediate effect if:
ARTICLE 09
We do not build this with the thought of an ending. But we write it down — because an honest beginning also deserves an honest ending.
Upon termination of this agreement, for whatever reason:
The Parties declare their willingness to first seek resolution through good-faith dialogue in the event of a dispute, before taking legal steps. The manner in which we build is also the manner in which we part.
ARTICLE 10
This agreement is governed by Dutch law. Any disputes shall be submitted to the competent court in Amsterdam, unless the Parties agree in writing to resolve the dispute through mediation. Note: the Dutch version of this agreement is the legally binding version.
