Number 110 — Toward an Agreement in Good Faith

A single, comprehensive summary of what has been discussed — honest to both parties, ready to be reviewed and formalized together.

1. The Space & Purpose

Number 110, ground floor (60m²), operated as a genuine early-morning breakfast Salon — never an evening venue. Built around the 7-Shakshukas and KHAYBAR coffee, reflecting the 9:1 Manner.

2. Rent & Utilities

Marco's ask: €1,500 rent + €250 utilities. For fair comparison, our current premises (120m², ground + first floor, excl. tax) cost €2,000. We propose meeting in the middle, with the first 12 months counted transparently — not as a taking of Marco's rights, and not beyond what KHAYBAR can honestly carry.

3. The Design Investment

The space is turn-key and currently empty. Costs are split so Marco provides the materials and KHAYBAR carries the labour — a 50/50 investment, agreed and clear before the first euro is earned. The household of KHAYBAR is the designer of the space — this is non-negotiable, as it is our reality being built.

4. The 12-Month Trial

A transparent operating period of 12 months. Marco has full, ongoing access to the daily earnings throughout — nothing hidden, nothing assumed.

5. Exit Strategy

If the Salon does not succeed, the concept-store itself is sold for an acquisition premium, and Marco's material investment is repaid first from that sale — before any other party is settled. No debt is carried beyond this.

6. Responsibilities

KHAYBAR carries the daily operation, sourcing, and service standard. Marco provides the space in the agreed condition. Ongoing maintenance and shared costs are to be defined plainly, in writing, before opening.

7. Horeca-vergunning (Exploitatievergunning)

A separate, statutory obligation carried by KHAYBAR alone — not shared with Marco. Gemeente Amsterdam requires proof of available startkapitaal for the horeca business as a condition of granting the licence. Cost: €3.010,80 without terrace, €3.621,50 with terrace — payable regardless of outcome, plus a Bibob integrity screening. Processing time: 16 weeks. This cost and timeline must be planned into the opening date independently of the space fit-out.

8. First Floor — Future Projection

Should the Salon outgrow the ground floor, the first floor is the natural next step for expansion. No figures are fixed here yet — a real projection (build-out cost, added capacity, revised rent) will be added once actual quotes are in hand, so this section is not to be read as a commitment, only as a named possibility both parties are aware of.

9. Legal Signing Entity

KHAYBAR is the brand under which the Salon operates and is presented to guests. The lease itself is signed by Three Wise Men [B.V., KvK-nummer], operating under the trade name KHAYBAR. This is the legal party bound by the agreement; the brand is what Marco and his guests will see and know day to day.
